3. Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and up-to-date

4. Subscription and Billing

4.1 Pricing

Subscription fees are based on the plan you select. All prices are in USD unless otherwise stated. We reserve the right to change our pricing with 30 days' notice.

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payment is due upon receipt of invoice
• Failed payments may result in service suspension
• No refunds for partial months or unused features

4.3 Free Trial

We offer a 14-day free trial. No credit card required. After the trial period, you will be charged unless you cancel your subscription.

5. Acceptable Use Policy

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the service for fraudulent purposes
• Resell or redistribute our services without permission
• Reverse engineer or decompile our software
• Send spam or unsolicited communications

6. Data and Content

6.1 Your Data

You retain all rights to the data you submit to LeadZ. You grant us a license to use, store, and process your data solely to provide our services.

6.2 Backup and Data Loss

While we perform regular backups, you are responsible for maintaining your own backup copies of your data. We are not liable for any data loss.

7. Intellectual Property

All rights, title, and interest in LeadZ software, including all intellectual property rights, remain with LeadZ Inc. You are granted a limited, non-exclusive, non-transferable license to use our services during your subscription period.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, which may temporarily affect service availability. We are not liable for service interruptions.

9. Termination

9.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

9.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay, or for any other reason with or without notice.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS.

12. Indemnification

You agree to indemnify and hold LeadZ harmless from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Toronto, Ontario.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through our service. Continued use after changes constitutes acceptance.
